AI Supplementary Terms

These AI Supplementary Terms (these “Terms”) form a part of, and are incorporated into, the terms of use or other contract (as applicable, the “Contract”) governing the use by a customer (a “Customer”) of products and services offered by CS DISCO, Inc. (“DISCO”).  These Terms apply to Customer’s use of any artificial intelligence technologies or functionalities (collectively, “AI Services”) that DISCO may make available to Customer, including the products and services branded as “Cecilia” or such other term as determined by DISCO in its sole discretion.  If there is any conflict between these Terms and any other provision of a Contract, these Terms will supersede with respect to Customer’s use of the AI Services.  By accessing or using the AI Services, Customer agrees to be bound by these Terms, as may be modified in accordance with Section 7 hereof.

1. DATA AND PRIVACY.  

When accessing or using AI Services, Customer may provide input (“Input”) to be processed by the AI Services, and receive output generated by the AI Services based on the Input (“Output” and, together with Input, the “Customer Content”). Customer is solely responsible for the selection, content, and submission of all Input and the use, reproduction, distribution, storage, and other processing of the Output. Customer will ensure that neither its Input nor its use of the Output will violate any applicable law, rule, or regulation, including intellectual property laws or data privacy and protection laws. Customer acknowledges and agrees that due to the nature of artificial intelligence, Output might be the same as or similar to data, information, content, or output provided to others. 

2. LIMITATIONS.

2.1 AI Services Feature Use Restrictions. Customer may not use, and shall ensure that its personnel or other authorized users do not use, AI Services or any Output: (i) to develop foundation models or other large scale models that compete with the AI Services; (ii) to mislead any person to believe or assume that Output was human-generated; (iii) in a manner that violates any technical documentation, usage guidelines, or parameters that may be made available by DISCO; (iv) for any purpose other than in furtherance of Customer’s use of DISCO’s products and services provided to Customer pursuant to the Contract; or (v) to reverse engineer, decompile, disassemble or seek to discover any underlying components of the models, algorithms, and systems used in or to develop the AI Services, such as seeking to exfiltrate the weights of models or the bulk training data used to train the AI Services.

2.2 Service Level Agreements Are Not Applicable. The Service Level Agreement set forth in the applicable Contract, if any, shall not apply to Customer’s use of the AI Services.

3. CUSTOMER CONTENT; IP RIGHTS.  

As between DISCO and Customer, Customer and its licensors own all Customer Content, including all intellectual property rights therein. No ownership rights in the Customer Content are transferred to DISCO by these Terms. Notwithstanding any other provision in these Terms, Customer hereby grants DISCO a worldwide, non-exclusive, royalty-free, fully paid-up, sub-licensable license to use, process, host, store, display, reproduce, modify, create derivative works of, and distribute Customer Content during the course of Customer’s use of the AI Services for purposes of providing and improving the AI Services.  At any time during the term of the Agreement, Customer may export Customer Content from the Services using DISCO’s self-service export functionality as specified in the applicable documentation.  DISCO retains all right, title and interest in and to the AI Services and all intellectual property rights embodied therein or related thereto. 

4. TERMINATION AND SUSPENSION.  

DISCO may terminate or suspend Customer's access to or use of the AI Services anytime if Customer breaches any provision of these Terms and such breach, if capable of cure, is not cured within thirty (30) days of DISCO providing written notice of such breach to Customer.  

5. ASSUMPTION OF RISK.  

Customer assumes all risks associated with its use of the Output. Without limiting the foregoing, Customer acknowledges and agrees that some or all Output may be biased, inaccurate, unfair, inequitable, discriminatory, or incomplete and that DISCO shall not have any liability or responsibility for any Output. It is Customer’s responsibility to review and validate any Output. Nothing in the AI Services or the Output is a substitute for Customer’s independent expertise and professional judgment.

6. FREE TRIAL AI SERVICES.  

Certain AI Services may be provided to Customer free of charge or on a “trial,” “beta” or similar basis (“Free Trial AI Services”).  Such Free Trial AI Services will be deemed “beta,” “free trial” or “evaluation” services under the Agreement, and DISCO shall have no liability to Customer in connection with the use of such Free Trial AI Services. 

7. UPDATES.  

From time to time, DISCO may modify these Terms by posting an updated version of these Terms to its website.  Unless otherwise specified by DISCO, changes become effective on the first day of the calendar month following the date such update is posted.  Continued use of the AI Services after a modified version of these Terms goes into effect will constitute Customer’s acceptance of such modified version.
